AI Governance Offer Terms and Conditions

Open to qualifying new-customer organizations in the United States, at SureCloud's discretion, and limited to the first 50 to sign up. It is not open to existing SureCloud customers or to competitors of SureCloud. SureCloud may verify eligibility and may decline or withdraw the offer for any organization.

Available while places remain (first 50 sign-ups) or until December 31, 2026, whichever comes first. SureCloud may close, extend, change or withdraw the offer at any time.

Sign-up means completing SureCloud's offer registration and accepting these terms, SureCloud's standard online terms and the SureCloud AI Terms Addendum. Acceptance occurs on the earlier of (a) your acceptance of a SureCloud order form, whether signed or accepted electronically, or (b) any authorized user of your organization first logging into the application. Access is provisioned after the discovery session described in clause 6.

A 12-month subscription to the SureCloud AI Governance application, deployment and setup by SureCloud, standard SureCloud support and an included AI credit allowance. Gracie AI is configured with an AI Governance Persona and associated Skills aligned to the NIST AI RMF, emerging US state AI laws and the EU AI Act. The application is compatible with the rest of the SureCloud application suite.

The entitlements set out in these terms apply in place of any standard package inclusions. No other applications, modules, professional services or service levels are included.

The included AI credit allowance of up to USD $100 per month is intended to cover the initial cataloging of your AI and the ongoing maintenance of your AI Governance Register for the full 12 months. Credits are for internal use only, do not roll over between months and have no cash value.

No payment is taken automatically and no additional charge is applied without your prior agreement. If the monthly allowance is reached, Gracie AI functionality within the application pauses until the allowance resets at the start of the following month, or until you purchase an additional credit pack. All other application functionality remains available. Additional credit packs are available at additional cost.

Activation requires a one-hour discussion of your current GRC application landscape and future plans, completed within 30 days of sign-up. This session carries no obligation to purchase.

SureCloud will deploy and set up the standard configuration of the AI Governance application, typically within [X] weeks of the discovery session. This is subject to your timely provision of system access, information and a named point of contact. The 12-month term runs from go-live.

Standard configuration means the out-of-the-box AI Governance application, its default workflows, assessment templates and reports, and the configured AI Governance Persona. A single bulk import of your AI use case inventory using SureCloud's standard template is included.

Custom integrations, migration of data other than the import described above, bespoke development and non-standard configuration are out of scope and available separately. Support follows SureCloud's standard support terms. Premium or managed services are not included.

By accepting, you authorize SureCloud to identify your organization as a customer and to use its name and logo in SureCloud marketing, including its website and case studies, consistent with any brand guidelines you provide. This authorization is a condition of the offer. It cannot be varied, waived or removed.

Use of Gracie AI within the application is subject to the SureCloud AI Terms Addendum. Your data is not used to train any AI model. Gracie AI operates within the permissions structure you configure, and actions affecting significant data or decisions require human confirmation.

You retain ownership of the data you put into the application. On expiry or termination you may export your data for 30 days, after which it is handled in line with the standard online terms. Personal data is processed in line with SureCloud's Privacy Statement.

The subscription runs for 12 months from go-live. It does not renew automatically and no payment is taken automatically. Continued use after the term requires a paid subscription on terms to be agreed; pricing is available from your SureCloud Account Representative.

If you take a paid subscription, your configuration and data carry over. No rebuild or re-import is required.

The application is provided on a standard, shared-service basis. Uptime, maintenance and service levels are as set out in the standard online terms. No additional or bespoke service levels apply to this offer.

SureCloud's total aggregate liability arising out of or in connection with this offer and the subscription, whether in contract, tort including negligence, breach of statutory duty or otherwise, is limited to USD $10,000.

Nothing in these terms limits or excludes either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded. Save as set out in this clause, the limitations and exclusions in SureCloud's standard online terms apply.

The offer is non-transferable, has no cash alternative and cannot be combined with any other offer or discount. One subscription per organization or group of companies. Any fees that become due are exclusive of applicable taxes.

The offer and the subscription are governed by SureCloud's standard online terms, available at www.surecloud.com/terms-of-use, together with the SureCloud AI Terms Addendum. In the event of any conflict, these offer terms prevail over the flyer, and the standard online terms prevail over these offer terms except in respect of clause 14 (Liability), which applies specifically to this offer.
